a. upon completion of your design or development project, as outlined in the project agreement, we will deliver the final project files, assets, and all intellectual property rights associated with the work we developed specifically for your project. this includes, but is not limited to:

• code: ownership of the code used to develop your website, app, game, or vr & ar simulation will be transferred to you.

• design elements: ownership of all design elements, such as logos, graphics, and user interfaces, will be transferred to you.

• other creative work: ownership of any other creative work we develop for your project, such as marketing materials or prototypes, will be transferred to you.

please note: this transfer of ownership will be contingent upon full payment for our services. we reserve the right to retain ownership of any pre-existing intellectual property we used in the project, unless otherwise agreed upon.

b. in the event of cancellation:

• by client: if you, the client, choose to cancel the project before completion, we will retain ownership of all intellectual property rights developed up to that point. however, we will deliver all completed work-in-progress materials to you.

• by evacrew: if evacrew cancels the project due to unforeseen circumstances or a breach of contract by you, the client, we will: return any prepayments received. if applicable, negotiate a fair compensation for the work completed up to the point of cancellation, with a corresponding transfer of ownership for that portion of the intellectual property.
